Acceptance
These Terms of Service govern your access to and use of nasrev.com and any Nasrev platform, dashboard or API made available to you (together, the “Services”). By accessing the Services you accept these Terms. If you do not accept them, do not use the Services.
If you transact with Nasrev commercially, the Master Services Agreement and your Insertion Order govern that relationship and prevail over these Terms in the event of conflict.
Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract.
- Where you access the Services on behalf of an organisation, you warrant that you have authority to bind it.
- You are responsible for the confidentiality of your credentials and for all activity under your account.
- You must notify us promptly at [email protected] of any suspected unauthorised access.
Permitted use
You may use the Services only for lawful purposes and in accordance with these Terms and the Acceptable Use Policy. You must not:
- Reverse engineer, decompile or attempt to derive the source code of any part of the Services;
- Access the Services by automated means other than a documented API, or exceed agreed rate limits;
- Interfere with, disrupt or attempt to gain unauthorised access to our systems or another user’s account;
- Use the Services to transmit malware or to conduct any fraudulent activity;
- Resell, sublicense or make the Services available to a third party without our written consent;
- Use data obtained through the Services for any purpose other than the one for which it was provided.
Intellectual property
The Services, and all software, text, graphics, logos and documentation within them, are owned by Nasrev or its licensors and are protected by intellectual property law. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Services for their intended purpose. All rights not expressly granted are reserved.
Third-party links and services
The Services may link to third-party websites or integrate third-party technology. We do not control those and are not responsible for their content, availability or practices. Your use of them is governed by their own terms.
Fees
Fees for commercial services are set out in the applicable Insertion Order. Unless stated otherwise, all fees are exclusive of taxes, and you are responsible for any applicable sales, use, VAT, GST or withholding taxes.
Disclaimers
The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Nasrev disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any particular level of revenue, fill rate, CPM or campaign performance will be achieved.
Limitation of liability
To the maximum extent permitted by law, Nasrev shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profit, revenue, data or goodwill. Our total aggregate liability arising out of or relating to the Services shall not exceed the greater of the amounts paid or payable by you to Nasrev in the three (3) months preceding the claim, or one hundred United States Dollars (USD 100). Nothing here limits liability that cannot lawfully be limited.
Indemnity
You agree to indemnify and hold harmless Nasrev and its officers, employees and affiliates from any claim, loss or expense, including reasonable legal fees, arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.
Suspension and termination
We may suspend or terminate your access immediately and without notice where we reasonably believe you have breached these Terms or the Acceptable Use Policy, where required by law, or where necessary to protect the Services or other users. You may stop using the Services at any time. Sections 4 and 7 to 12 survive termination.
Governing law
These Terms are governed by the laws of the State of Wyoming, United States of America, without regard to conflict of laws principles. The state and federal courts located in Wyoming have exclusive jurisdiction, and you consent to that jurisdiction and venue.
Changes and contact
We may amend these Terms. Changes take effect when posted with a revised effective date, and your continued use constitutes acceptance. Where a change materially affects a commercial partner, we will give thirty (30) days’ notice.
